The Companies Act Cap. 50 requires all companies incorporated in Singapore to have at least one secretary resident in Singapore. Although the law does not require this to be a professionally qualified company secretary is an important one that ensures
the statutory compliance with the Singapore Companies Act. In addition, the company secretary is required to be conversant with corporate secretarial matters, share registration, statutory requirements and has the responsibility of maintaining and updating all registers and records of minutes and resolutions.
Within our scope of the annual retainer for company secretarial services, the following services are provided for your company:
- Safe custody for statutory records (such as updating and maintainace of directors and secretaries, register of shareholders, register of transfers, register of charges and etc.
- Preparing all documentation in connection with Annual General Meeting and annual return filling as required by the Singapore Companies Act, Cap. 50 ("CA")
- Liaison with auditors in their statutory review of corporate secretarial records.
